Hideout User Terms of Use

If you are a User (“you”, “your”) of the Hideout Services, this document sets out the terms and conditions that apply to your use of our Hideout Services. Please review the below terms carefully, as they constitute a binding legal contract between you and us.

Background to these Terms of Use

Please read these terms carefully. Please review these Terms carefully, and make sure that you understand them before using or accessing the Hideout Services.
1. Legally binding. These Terms constitute a legally binding agreement between you and Hyperliminal.
2. Acceptance. By joining the Hideout Discord, using the Hideout Activity, creating an Account, and/or otherwise accessing or using the Hideout Services, you agree to be bound by these Terms. If you do not accept them, you are not permitted to use the Hideout Services, and you should cease using the Hideout Services immediately.
3. Availability. Hyperliminal may change or discontinue the availability of all or parts of the Hideout Services at any time without prior notice to you.
Definitions
1. When we use certain capitalised words in these Terms, they have the specific meaning outlined either in this section 2 or in the sentence where that term is defined.
"Account" means an account for the Hideout Activity with Hyperliminal created for Users and/or a Discord User Account, which may contain certain Content, game and personal data, your in-game progress and any Hideout Assets.

"Discord Platform" means the Discord services, apps, websites, and other products which enable the delivery of the Hideout Services.

"Discord Terms" means the Discord Terms of Service, Discord Community Guidelines, Discord Privacy Policy, Additional Terms and Policies – Discord and any other Discord policies that may apply to Users and/or the Hideout Services.

"Discord User Account" means a user account on Discord as permitted under the applicable Discord Terms that govern the creation and use of such accounts.

"Hideout Activity" means the massive multi-player online game known as "Hideout" which is developed and operated by Hyperliminal, featured in the Discord App Directory and available to access from Discord User Accounts, including via the Discord 'App Launcher' functionality.

"Hideout Assets" means any in-game virtual items made available to you to access or use within the Hideout Activity.

"Hideout Services" means the Hideout Activity, Hideout Discord, all Content and all related materials (including without limitation, software, code, information, content, data, text, characters, music, sounds, videos) made available by Hyperliminal in such services.

"Hideout Discord" means the Discord server created and managed by Hyperliminal located at https://discord.gg/enterhideout.

"User Generated Content" has the meaning given to this term in section 10.1.

"Terms" means the terms and conditions set out on this page, together with the Hyperliminal policies explicitly referenced herein as updated from time to time (e.g., our privacy policy).

"Users" means persons who own an Account, play, and have access to our Hideout Services.
1. In these Terms, the words "include" and "including" (or similar) are construed as illustrative only and shall not limit the sense of the description, definition, phrase or term(s) that comes before those words.
Our right to vary these Terms
1. Changes to these Terms. From time to time, we may make changes to these Terms and/or the Hideout Services in order to comply with applicable laws and regulations including with respect to age-gating, content moderation, revisions to and takedown of the Hideout Services or any aspect thereof. If we do so, we will: (i) post those changes in an updated version of these Terms on the Hideout Discord; and (ii) where we consider the changes will materially or adversely affect you or your rights, notify you of such changes via email (where possible) and/or via a notification through the Hideout Discord.
2. The latest version of these Terms applies. Your use of the Hideout Services will always be subject to the latest version of these Terms, which you can find at any time on this page. It is your responsibility to check this page periodically for changes.
Information about Hyperliminal and our contact details
1. Who we are. The Hideout Services are operated by HYPERLIMINAL LIMITED, a limited company (company number 15825107) whose registered address is at 1st Floor One Suffolk Way, Sevenoaks, Kent, England, TN13 1YL ("Hyperliminal", "we", "our" and "us").
2. How to contact us. You can contact us by writing to: [email protected].
3. Information about us and the Hideout Services. Hyperliminal is a product-led game development company. We build social-first experiences optimized for the platforms where people already hang out (including the Hideout Activity).
Accounts
1. Account creation. In order to access the Hideout Services, you may be required to create an Account.
2. Accurate and up-to-date information. If you create an Account, you agree that you will ensure that the information you provide to us in the course of the creation of that Account and in connection with your ongoing use of that Account will be accurate, complete and up-to-date. We will rely on that information to deliver our services to you and communicate with you. If, for any reason, any information you submit is or becomes inaccurate, incomplete and/or outdated, you agree that you will update that information to maintain its accuracy, completeness and currency.
3. Asking us to delete your Account. You can ask us to delete your Account at any time, for any reason. Please contact us if you wish to do so.
4. Our right to suspend or delete your Account. We reserve the right to suspend or terminate your Account with immediate effect (i) if doing so is necessary to protect the security of the Hideout Services, (ii) if you are in breach of these Terms or any other terms and conditions which may apply to you in connection with our services, (iii) if you cease to be a User, or (iv) if we are required to do so in order to comply with applicable laws.
5. You are responsible for your Account credentials. You are responsible for maintaining the confidentiality of your Account log-in information (including, for example, your username and password). You agree and undertake not to disclose your Account log-in information to any other person, and not to permit any other person to access the Hideout Services using your Account log-in information. For the avoidance of doubt, you should use your own Account log-in information and should not share Account log-in information.
6. Unauthorised use of your Account. You should notify us immediately if you suspect or become aware of any unauthorised use of an Account or any other breach of its security.
7. Your use is subject to additional terms. Please note that when accessing or using the Hideout Services, your access to and use thereof may be subject to additional terms, including without limitation the Discord Terms. Any conflict between these Terms and the Discord Terms shall be resolved in favour of the Discord Terms.
8. Your access to and use of the Hideout Services depend on the Discord Platform. You understand that the Hideout Services are built on and made available via the Discord Platform. You therefore understand that Users' access to and our performance of the Hideout Services are dependent on the availability, features, functionality and performance of the Discord Platform. If a Discord User Account or the Discord Platform (in whole or in part) becomes unavailable, or if Hyperliminal's access to such Discord User Account or Discord Platform is terminated, the Hideout Services may no longer be available to you and any licences previously granted to you to use or access the Hideout Services will be either temporarily or permanently revoked. THIS MEANS YOU MAY LOSE YOUR ACCOUNT, PLAYER HISTORY AND ANY HIDEOUT ASSETS. Hyperliminal is under no obligation to compensate you for any losses that result from either (i) your Discord User Account being disabled or banned; or (ii) the Hideout Services being interrupted, disabled, banned or otherwise not supported by Discord.
9. Your Hideout experience may vary. You understand that the features and functionalities available to Users within a Hideout Activity may vary depending on the configuration and limitations of the particular Discord server and/or channel on which the Hideout Activity is accessed. Please note that we have no control over the management and/or permission settings of Discord servers and/or channels outside of the Hideout Discord and therefore we cannot guarantee that the Hideout Activity will work on or be compatible with or capable of being accessed on any particular sever or channel within Discord.
Privacy Policy
1. Your privacy. Our policies and procedures relating to our use of your personal information are outlined in our Privacy Policy. Please also note that any personal information that you make available via Discord servers, including via the Hideout Discord, will be processed in accordance with the Discord Privacy Policy.
2. Marketing communications. We may from time to time send you marketing communications about our services. We will only do so in accordance with our Privacy Policy. You can of course decide to stop receiving such marketing communications at any time by following the steps outlined in our Privacy Policy. Please note, where you opt out of receiving marketing communications, this will not apply to service-related communications. See our Privacy Policy for more details.
Your conduct
1. No harmful material. You agree not to misuse the Hideout Services by introducing, or transmitting, sending or uploading User Generated Content that contains, viruses, Trojan horses, worms or any other computer code, files or programs designed to interrupt, destroy or limit the functionality of any computer software or hardware or telecommunications equipment associated with the Hideout Services.
2. No interference. You agree not to interfere with the servers or networks connected to the Hideout Services, or otherwise jeopardise the correct functioning of the Hideout Services.
3. Other restrictions. You agree that in accessing or using the Hideout Services, you will neither by yourself nor promote, encourage or help others to:
  1. license, sell, rent, lease, transfer, assign, reproduce, distribute, host or otherwise commercially exploit the Hideout Services or any portion of the Hideout Services;
  2. attempt to reverse compile or reverse-engineer or sell, export, license, modify, copy, distribute or transmit the Hideout Services (or any part of it) to any third-party, or otherwise attempt to derive the source code of the software (including the tools, methods, processes and infrastructure) that enables or underlies the Hideout Services;
  3. attempt to gain access to secured portions of the Hideout Services to which you do not possess access rights;
  4. impersonate any other person while using the Hideout Services;
  5. conduct yourself in a vulgar, offensive, harassing or objectionable manner while using the Hideout Services;
  6. resell or export the software associated with the Hideout Services;
  7. use the Hideout Services for any illegal, unlawful or fraudulent purposes (or to promote any illegal, unlawful or fraudulent activity);
  8. use the Hideout Services to generate, advertise, solicit or otherwise transmit any unsolicited advertisements or spam; or
  9. use any automatic or manual process to search or harvest information from the Hideout Services, or to interfere in any way with the proper functioning of the Hideout Service; or
  10. use our Hideout Services to build a service or game that may compete with the Hideout Activity or assist another person in building a service or game that would compete with the Hideout Activity.
4. Content restrictions. You agree that you will ensure that your User Generated Content:
  1. complies with any applicable local, national or international law; does not include or promote any illegal content; does not promote or incite any party to commit, or assist in any unlawful or criminal activity; and is not in contempt of court;
  2. is accurate (where it states facts), only contains opinions that are genuinely held, and is not likely to deceive any person;
  3. does not impersonate any person or misrepresent your identity or affiliation with any person, if this is not the case;
  4. does not contain any advertising or promote any goods or services; and does not contain any links to other sites or platforms;
  5. does not abuse or invade another's privacy; is not defamatory of any person;
  6. is not obscene, offensive, hateful or inflammatory; and does not bully, harass, embarrass, insult, intimidate, threaten or humiliate any person;
  7. does not encourage, promote or provide instructions for deliberate self-harm;
  8. does not encourage, promote or provide instructions for suicide;
  9. does not encourage, promote or provide instructions for an eating disorder or behaviours associated with an eating disorder;
  10. does not include or promote sexually explicit material; and does not include or promote child sexual abuse material;
  11. does not incite violence or hatred against particular groups; and does not incite or promote discrimination based on race, sex, religion, nationality, disability, sexual orientation or age;
  12. does not encourage or induce the commission, preparation or instigation of acts of terrorism;
  13. does not breach any legal duty owed to a third party, such as a contractual duty or a duty of confidentiality; and
  14. does not infringe any intellectual property right, including any copyright, database right or trade mark of any other person.
Our Rights
1. In providing you with access to the Hideout Services, we reserve the following rights (and you agree that we will have the following rights):
  1. to suspend or delete your Account or your access to an Account in accordance with section 5.4 above;
  2. the right to amend or update the Hideout Services, or any part of the Hideout Services, and its availability from time to time; and
  3. the right to report you to the police or other judicial body if we believe in our sole and absolute discretion that your conduct on the Hideout Services is or may be unlawful.
Intellectual property
1. Licence. Subject to these Terms (in particular, the restrictions outlined in the previous section), Hyperliminal grants you the right to use the Hideout Services on the basis that this licence is:
  1. non-transferable and non-sublicensable – you can't pass this right on to someone else and/or ask someone else to exercise this right on your behalf;
  2. non-exclusive – other people can access and use the Hideout Services;
  3. revocable – we have the right to remove your ability to use the Hideout Services, or any part of the Hideout Services; and
  4. limited – the licence does not extend beyond what is described above.
2. Ownership. Hyperliminal and/or its licensor(s) own all rights, title and interest in the Hideout Services (including but not limited to any computer code, themes, characters, character names, stories, dialogue, artwork, animations, sounds, musical compositions, audiovisual effects, methods of operation, moral rights, software and content made available through the Hideout Services).
3. Termination of licence. Any unauthorised use of the Hideout Services will result in the automatic and immediate termination of the limited rights granted by us above.
4. All rights reserved. All trademarks, logos, trade dress, service names and service marks ("Marks") displayed on the Hideout Services are Hyperliminal property or the property of its licensors and other third parties. You are not permitted to use these Marks without our prior written consent or the prior written consent of such third party as may own the relevant Marks.
Your content
1. User Generated Content. Some areas of the Hideout Services include social elements which permit Users to post, publish, submit, upload, transmit, or otherwise make available on or in connection with the Hideout Services content such as in-game voice or text messages, and any content or information contained therein ("Content") (any such materials that a User does make available or submit is referred to as (""User Generated Content (User Generated Content)"". You are solely responsible for your User Generated Content. You assume all risks associated with use of your User Generated Content, including any reliance on its accuracy, completeness or usefulness by others, or any disclosure of your User Generated Content that personally identifies you or any third party.
2. How User Generated Content cannot be used. You confirm and promise to us that your User Generated Content does not and will not violate section 7.4 of these Terms. You may not represent or imply to others that your User Generated Content is in any way provided, sponsored or endorsed by us. Because you alone are responsible for your User Generated Content, you may expose yourself to liability if, for example, your User Generated Content violates section 7.4 of these Terms. We may limit the distribution of or remove Content that we determine violates these Terms.
3. Backing up User Generated Content. Hyperliminal is not obligated to backup any User Generated Content, and your User Generated Content may be deleted from the Hideout Services at any time without prior notice – accordingly we recommend you store and backup copies elsewhere. You are solely responsible for creating and maintaining your own backup copies of your User Generated Content if you desire.
4. Licence for Hyperliminal to use your User Generated Content. So that we can operate the Hideout Services, host and display your User Generated Content, you grant (and confirm and promise to us that you have the right to grant Hyperliminal a licence to reproduce, distribute, publicly display and perform, prepare derivative works of, incorporate into other works, and otherwise use and exploit your User Generated Content on the basis that such licence is:
  1. irrevocable – you cannot remove or restrict our right to use your User Generated Content as described above;
  2. non-exclusive – you and, if you let them, other people can use your User Generated Content;
  3. royalty-free and fully-paid – we don't have to pay you (either now or in the future) to use your User Generated Content in the fashion described above;
  4. worldwide – we can use your User Generated Content in the fashion described above anywhere in the world; and
  5. sub-licensable – you allow us to authorise, solely for the purposes of including your User Generated Content in the Hideout Services, other business and individuals to use the licence describe above.
5. Moral rights waiver. You hereby irrevocably waive (and agree to cause to be waived) any claims and assertions of moral rights or attribution with respect to your User Generated Content.
6. Monitoring. In addition to the measures set out in Section 11.2, you acknowledge and agree that Hyperliminal, or third parties instructed or engaged by us, may, monitor, alter, remove or refuse to post any User Generated Content for any reason. The opinions expressed in User Generated Content reflect solely the opinions of the User and do not necessary reflect our opinions. We are not responsible for the accuracy, truthfulness or completeness of any User Generated Content and we will not be liable to you for any loss or damage caused by your reliance on such User Generated Content. You are responsible for your relationship with other Users. However, we reserve the right, but are not obliged, to monitor disputes between you and other Users. In addition to the foregoing, you understand that Discord itself may monitor and/or moderate any User Generated Content that you upload or submit via your Discord User Account.
7. Feedback and reviews. If, at any time, you send to us any feedback, reviews, creative ideas, suggestions, proposals, plans or other materials, whether through the Hideout Services, via email, postal mail or otherwise, you agree that we may, at any time, without restriction, edit, copy, publish, distribute, translate and otherwise use in any medium any such content without any compensation to you.
How we protect Users from certain Content
1. IMPORTANT NOTE: The Hideout Activity is a regulated user-to-user service under the UK Online Safety Act 2023 ("OSA"). This means that we need to comply with certain duties under the OSA, including by putting in place proportionate systems and processes designed to protect our Users, including children, from encountering the illegal and/or harmful Content referred to at Sections 7.4(a); 7.4(e) - 7.4 (k) of these Terms ("Illegal Content") when accessing or using the Hideout Activity.
2. Measures designed to protect our Users. In order to protect our Users and to mitigate the risks associated with Illegal Content on the Hideout Activity, and having regard to Users' right to freedom of expression and privacy rights:
  1. We expressly prohibit Users from including Illegal Content within their User-Generated Content;
  2. We minimise the length of time for which the Illegal Content is present on the Hideout Activity by routinely performing checks of User-Generated Content;
  3. Where we receive a complaint, are alerted to, or otherwise become aware of Illegal Content on the Hideout Activity, we swiftly take down such Illegal Content; and
  4. Where it is proportionate to do so, we disable the User's access to the Hideout Activity and/or delete the User's Account.
Our liability; disclaimers
1. Commercial losses are excluded. Subject only to Section 12.4 below, we have no liability to you for any loss of profit, loss of business, business interruption, loss of business opportunity, or any other business-related loss or damage, which arises as a result, or in the course, of your use of the Hideout Services for any commercial, business or resale purposes.
2. We are responsible to you only for foreseeable loss and damage caused by us. To the extent that we may be liable to you for loss you suffer as a result of your non-commercial use of the Hideout Services, we are only responsible for loss or damage you suffer that is a foreseeable result of our breaching these Terms or failing to act with reasonable care and skill up to the limit specified in Section 12.3 below. We are not responsible for any loss or damage that is not a foreseeable result of our breaching these Terms or failing to act with reasonable care and skill. IMPORTANT NOTE: We are not responsible or liable for any loss or damage which you may suffer:
  - that is not "foreseeable" – please see below for an explanation of what we mean by the word foreseeable here, as it has a particular 'legal' meaning in this context; or
    - that results from your breach of these Terms or negligence.
  - Loss or damage you may suffer will be "foreseeable" if either:
    - it is obvious that it would result from our breach or negligence;
    - at the time you enter into these Terms, both we and you knew it might result from our breach or negligence.

1. Our liability to you is limited. In the event of any dispute between you and us relating to these Terms or your use of the Hideout Services, our total liability to you, whether in contract, tort (including negligence) or otherwise, will in all circumstances be limited to the amount of one hundred Pound Sterling (£100) or the equivalent amount in your local currency. For the avoidance of doubt, in the event of any dispute between you and us which does not specifically relate to the Hideout Services (for example any dispute relating to the Discord Platform ), our liability to you will be as set out and limited in the applicable terms and conditions. Any claims brought under these Terms must be based solely on the provisions of these Terms.
2. What we do not exclude. Nothing in these Terms will limit or exclude our liability for:
  1. our wilful misconduct;
  2. death or personal injury resulting from our negligence;
  3. fraud or fraudulent misrepresentation;
  4. our breach of any terms implied by Section 46 (Remedy for Damage to Device or to other Digital Content) of the UK Consumer Rights Act 2015 or any equivalent provision of consumer-protection law implemented elsewhere in the European Union and applicable to you; and
  5. any other liability that cannot be excluded or limited by applicable law.
3. We are not liable for other users of the Hideout Services. We exclude all responsibility to you for the acts and omissions of other Users to the fullest extent permitted by applicable law.
4. Do not rely on information available on the Hideout Services. The content on the Hideout Services is provided for general information only. It is not intended to amount to advice on which you should rely. Although we make reasonable efforts to update the information on the Hideout Services, we make no representations, warranties or guarantees, whether express or implied, that the content on the Hideout Services is accurate, complete or up-to-date.
5. We are not liable for events outside our control. We will not be liable or responsible for any failure to perform, or delay in performance of, any of our obligations that is caused by events outside our reasonable control ("Force Majeure Event"). A Force Majeure Event includes any act, event, non-happening, omission, accident or Act of God beyond our reasonable control. Our performance of our obligations under these Terms is deemed to be suspended for the period that the Force Majeure Event continues, and we will have an extension of time for performance for the duration of that period. We will use reasonable efforts to bring the Force Majeure Event to a close or to find a solution by which our obligations under the Terms may be performed despite the Force Majeure Event.
6. Service provided 'as is' and 'as available'. We provide the Hideout Services to you 'as is' and 'as available'. This means that, to the fullest extent permitted by applicable law, we disclaim all implied conditions, warranties, representations or other terms that may apply to the Hideout Services. In particular, we do not guarantee, represent or warrant that your use of the Hideout Services will be uninterrupted, timely, secure or error-free.
7. Your right to claim against us for breach of these Terms. If we (i) restrict or remove access to your User Generated Content, and/or (ii) suspend or ban your use of the Hideout Services, in a way that breaches these Terms, you may be entitled to bring a claim against us for breach of contract.

Complaints
1. What Content and behaviours you should report. You can report or complain about the following Content and behaviours:
  1. Content you consider to be illegal;
  2. Content accessible to children that you consider harmful to children;
  3. when you think we are not dealing with illegal Content or activity as we should;
  4. when you think we are not dealing with our duties to protect children as we should;
  5. where you think our content reporting systems and processes do not easily let Users report Content they believe to be illegal and Content they believe to be harmful to children and that is accessible to children;
  6. when you think we have insufficiently considered the importance of protecting Users' rights to freedom of expression or privacy;
  7. where your User Generated Content has been taken down on the basis that it is illegal and/or harmful to children;
  8. where we have given you a warning, suspended, banned or restricted you in any way as a result of your User Generated Content which we consider to be illegal and/or harmful to children;
  9. where you are unable to access Content because we have incorrectly assessed your age; and
  10. where technology owned and operated by Hyperliminal results in your User Generated Content being taken down, access-restricted or deprioritised and you think the technology has been used in a way not set out in our Terms.
2. How to make a complaint. Should you have any complaints about the Hideout Services or wish to report Content, please contact us providing clear details of the complaint by submitting a support ticket via the Hideout Discord. We will use reasonable efforts to respond to your complaint as soon as possible.
General
1. We are not responsible for websites we link to. Where the Hideout Services contains links to other sites and resources provided by third parties, these links are provided for your information only. Such links should not be interpreted as approval by us of those linked websites or information you may obtain from them. We have no control over the contents of those sites or resources.
2. Disputes. These Terms are governed by English law and we both agree to submit to the nonexclusive jurisdiction of the English courts. If you are a resident of a country in the European Economic Area (EEA), you may bring a claim to enforce your consumer protection rights in connection with these Terms in England or in the EEA country in which you live.
3. Nobody else has any rights under these Terms. These Terms are between you and us, and no other person will have any rights to enforce any of the relevant terms.
4. Even if we delay enforcing our rights under these Terms, we can still enforce them later. If we do not insist immediately that you do anything you are required to do under these Terms, or if we delay taking steps against you in respect of your breaching these Terms, that will not mean that you do not have to do those things and it will not prevent us taking steps against you at a later date.
5. If a court finds part of these Terms unlawful, the rest will continue in force. Each of the sections of these Terms operates separately. If any court or relevant authority decides that any of them are unlawful, the remaining sections will remain in full force and effect.
6. Hyperliminal may transfer its rights under these Terms to someone else. Hyperliminal may transfer its rights and obligations under these Terms to another organisation. We will take reasonable steps to ensure that any such transfer does not affect your rights under these Terms.
7. Personal agreement. The agreement formed under these Terms is personal to you, and you cannot transfer any of your rights under them to any other person without our prior express written consent.
8. Email counts as 'in writing'. When we use the words "writing" or "written" in these Terms, this includes emails. For contractual purposes, you: (i) consent to receiving communications from us by email; and (ii) agree that all communications that we provide to you by email satisfy any legal requirement that such communications would satisfy if it were be in a hardcopy writing.
